Eng Academi Terms of Service

These Terms of Service (the **“Terms”**) form a legally binding agreement between you and **Eng Academi Inc.** (**“Eng Academi,” “we,” “us,” or “our”**) governing your access to and use of Eng Academi websites, applications, APIs, learning tools, interview-preparation features, assessment services, employer-facing services, and other products or services that link to or incorporate these Terms (collectively, the **“Services”**).
 
Please read these Terms carefully. By creating an account, clicking an acceptance checkbox, accessing or using the Services, purchasing a paid Service, accepting an assessment invitation, or otherwise indicating your acceptance, you agree to these Terms. If you do not agree, do not use the Services.
 
Some Services may be provided under additional written terms, an order form, statement of work, employer agreement, school or organization agreement, promotion, or feature-specific terms (collectively, **“Additional Terms”**). If Additional Terms conflict with these Terms, the Additional Terms control for the specific Service to which they apply. Nothing in these Terms limits any non-waivable right or remedy you have under applicable consumer-protection, privacy, employment, human-rights, or other law.

1. About Eng Academi and the Services
 
Eng Academi provides technology intended to support engineering learning, technical interview preparation, knowledge review, question practice, guided feedback, skills assessment, and related career or hiring workflows.
 
Depending on availability, the Services may include:
 
- multiple-choice, long-answer, flashcard, and other engineering practice formats;
- question search, filtering, tagging, taxonomy, recommendations, similarity tools, and knowledge-map functionality;
- bookmarks, collections, practice sessions, timers, progress indicators, rankings, streaks, scores, history, and other learning or engagement features;
- generated or pre-generated educational feedback, progressive hints, explanations, model answers, and solution-reveal functionality;
- artificial-intelligence or machine-learning assisted features, including evaluation, feedback, content enrichment, tagging, search, recommendations, or content generation;
- user-submitted questions, answers, tags, comments, feedback, or other contributions;
- job-description analysis and role-relevant practice or assessment functionality;
- paid individual subscriptions, premium learning features, or one-time purchases, if and when offered;
- employer, recruiter, school, team, or other organization accounts and dashboards, if and when offered;
- candidate invitations, technical assessments, screening tools, interview-support tools, reports, or talent-related services, if and when offered; and
- beta, experimental, research, pilot, or limited-release functionality.
 
Features may differ by account type, engineering discipline, location, device, subscription tier, organization, or release stage. We may add, modify, suspend, or discontinue features in accordance with these Terms.

2. Eligibility and Authority
 
You may use the Services only if you can lawfully enter into these Terms and are not prohibited from receiving the Services under applicable law.
 
The Services are primarily designed for post-secondary students, graduates, early-career professionals, educators, employers, and engineering organizations. The Services are not directed to children under 13.
 
If you are under the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian where required by law. If a parent or guardian permits a minor to use the Services, the parent or guardian is responsible for supervising that use and, to the extent permitted by law, agrees to these Terms on the minor’s behalf.
 
If you use the Services on behalf of a company, school, employer, recruiter, client, or other organization, you represent and warrant that you have authority to bind that organization to these Terms and any applicable Additional Terms. In that case, **“you”** includes both you and that organization where the context requires.

3. Accounts and Registration
 
Certain features require an Eng Academi account. You agree to:
 
- provide accurate, current, and complete registration information;
- maintain and promptly update information that materially affects your account;
- use only accounts you are authorized to use;
- keep passwords, access tokens, authentication links, and other credentials confidential;
- use reasonable safeguards to prevent unauthorized access to your account; and
- notify us promptly at `admin@engacademi.org` if you know or reasonably suspect that your account or credentials have been compromised.
 
You are responsible for activity carried out through your account to the extent permitted by law, except where the activity results from a security failure for which Eng Academi is legally responsible.
 
You may not sell, transfer, rent, sublicense, share, or otherwise provide access to your account to another person except where a specific organizational feature expressly permits delegated access.
 
We may require you to verify your email address, re-authenticate, complete an account-security step, or provide additional information reasonably necessary to protect the Services, comply with law, or investigate suspected abuse.

4. Authentication and Third-Party Sign-In
 
We may allow you to sign in or link your account through a third-party identity provider, such as Google. If you use such functionality, you authorize us to receive the identity information necessary to authenticate or link your account, as described in our Privacy Policy.
 
Your relationship with the identity provider is governed by that provider’s terms and privacy practices. Eng Academi is not responsible for the availability, security, accuracy, or operation of a third-party identity service, but we remain responsible for personal information under our control as required by applicable law.
 
You are responsible for maintaining access to any third-party account you rely on for authentication. We may offer account-recovery or alternative sign-in methods, but we do not guarantee that every recovery method will be available in every circumstance.

5. Individual Learning and Interview-Preparation Use
 
Unless a feature, plan, or written agreement expressly provides otherwise, individual-access learning content is licensed to you for your own personal, non-commercial education, interview preparation, or professional development.
 
You may use the Services to practice, study, review concepts, receive feedback, organize learning materials, and prepare for legitimate interviews or assessments. You may not use the Services to impersonate another person, complete an assessment on another person’s behalf, misrepresent your skills, or facilitate cheating, fraud, or academic misconduct.
 
Eng Academi may establish reasonable usage limits, quotas, attempt limits, feature limits, rate limits, or solution-reveal rules to protect learning quality, control infrastructure costs, prevent abuse, or preserve assessment integrity.

6. Educational Content Is Not Professional or Academic Certification
 
The Services are educational and informational tools. Unless we expressly state otherwise in writing:
 
- Eng Academi is not a university, college, professional engineering regulator, licensing body, accredited certification provider, or employment agency;
- completion of questions, collections, assessments, or learning paths does not grant an academic credential, professional licence, engineering designation, or guaranteed qualification;
- scores, rankings, recommendations, tags, feedback, hints, readiness indicators, or similar outputs are not official determinations of academic standing or professional competence; and
- use of the Services does not guarantee an interview, job offer, admission, promotion, examination result, professional outcome, or improvement of any particular amount.
 
You remain responsible for independently verifying important technical information and for complying with the rules of any school, employer, interview process, examination, professional regulator, or other third party.

7. Questions, Solutions, Feedback, Hints, and Technical Accuracy
 
We aim to provide useful and accurate engineering content, but technical questions may involve assumptions, conventions, approximations, discipline-specific practices, evolving standards, or multiple valid solution methods.
 
Questions, answer choices, solutions, tags, taxonomy relationships, hints, feedback, explanations, and related materials may be authored, imported, generated, reviewed, edited, or combined using automated and human processes. They may contain errors, omissions, stale information, ambiguous wording, or other limitations.
 
You should not rely on the Services as the sole source for safety-critical engineering calculations, professional design decisions, regulatory compliance, medical decisions, financial decisions, or any other high-risk activity. Where an error could cause injury, property damage, legal non-compliance, or material loss, consult appropriate authoritative sources and qualified professionals.
 
If you believe content is materially incorrect, you may report it through available feedback tools or by contacting us.

8. Artificial Intelligence and Automated Features
 
Some Services use artificial intelligence, machine learning, semantic analysis, or other automated systems. These systems may assist with activities such as long-answer evaluation, feedback generation, hint generation, question enrichment, tagging, taxonomy, search, recommendations, similarity analysis, or future assessment workflows.
 
You acknowledge that:
 
1. automated outputs are probabilistic and may be inaccurate, incomplete, inconsistent, or inappropriate for a particular context;
2. similar inputs may produce different outputs;
3. a score or feedback item generated with automated assistance may not reflect every valid engineering approach;
4. automated systems may have limitations or biases arising from data, prompts, model design, or the context in which they are used; and
5. you should apply independent judgment and, where appropriate, seek human review.
 
We may use third-party model or infrastructure providers to operate AI-assisted features. Information submitted to those features may be processed by those providers for the purpose of providing the feature, as described in our Privacy Policy and subject to applicable contractual and legal safeguards.
 
Unless we clearly tell you otherwise at the point of collection, Eng Academi does not grant third-party AI providers permission to use your identifiable account information for their own unrelated advertising purposes.
 
You must not intentionally provide highly sensitive personal information, confidential employer information, trade secrets, controlled technical data, export-restricted data, or another person’s personal information to an AI-assisted feature unless the feature expressly requests it and you are authorized to provide it.

9. Assessments, Scores, and Candidate-Facing Services
 
Where Eng Academi offers assessments, screening tools, interview-support tools, readiness reports, or candidate evaluation features, the following rules apply unless Additional Terms state otherwise.
 
Assessment results may include answers, completion status, timing, scores, topic-level performance, generated feedback, hints used, attempt history, or other metrics relevant to the assessment. The meaning and weight of those results depend on the assessment design and context.
 
Eng Academi assessments are intended to provide structured evidence about a limited set of skills or responses. They are not designed to measure every factor relevant to employment, academic success, professional competence, disability, potential, character, or workplace performance.
 
If an assessment is provided on behalf of an employer or other organization, that organization may receive assessment information as described to you at the time of the assessment and in our Privacy Policy.
 
Where Eng Academi uses automated tools to assist with a candidate-related score, report, recommendation, or evaluation, such outputs are intended as decision-support information, not as a substitute for appropriate human judgment where a decision could materially affect an individual. Eng Academi does not authorize customers to use the Services in a manner that unlawfully discriminates or violates human-rights, employment, privacy, accessibility, or other applicable law.
 
Candidates must complete assessments honestly and independently unless collaboration, external materials, calculators, AI tools, reference materials, accommodations, or other assistance are expressly permitted.

10. Employer, Recruiter, School, and Organization Services
 
If Eng Academi offers organization-facing Services, the organization is responsible for its use of those Services, including its invitations, assessment configuration, employment or academic decisions, notices to candidates, accessibility obligations, and legal basis for providing personal information to Eng Academi.
 
An organization must not use Eng Academi to:
 
- discriminate unlawfully on the basis of a protected characteristic;
- infer protected or highly sensitive characteristics where doing so is unlawful or inappropriate;
- make a materially adverse decision solely because of an automated output where applicable law, fairness, or the circumstances require meaningful human review;
- create deceptive, irrelevant, or intentionally inaccessible assessment processes;
- collect information from candidates that is unrelated to a legitimate assessment or hiring purpose;
- obtain passwords to personal accounts or conduct covert surveillance;
- violate employment, human-rights, privacy, accessibility, labour, education, or consumer law; or
- misrepresent Eng Academi results as a professional licence, regulated credential, or guarantee of job performance.
 
Organizations are responsible for determining whether the Services are suitable for their intended purpose and for validating any assessment, score threshold, or decision process they use.
 
Where an organization has a separate contract with Eng Academi, that agreement may allocate responsibilities differently and will control to the extent of a conflict.

11. Job Descriptions and Role-Specific Inputs
 
The Services may allow you to submit or paste job descriptions, role descriptions, skills lists, or similar materials to generate tags, recommendations, practice content, or assessment-related outputs.
 
You represent that you have the right to provide such materials and that doing so does not violate confidentiality, intellectual-property, privacy, employment, or contractual obligations.
 
Do not submit non-public personal information, trade secrets, security-sensitive information, or confidential hiring materials unless necessary for an available feature and you are authorized to do so.
 
Eng Academi may process the submitted text to provide the requested feature, including extracting or generating tags and recommendations. Treatment of personal information within submitted text is governed by the Privacy Policy.

12. User Content and Submissions
 
**“User Content”** means content you submit, upload, enter, post, send, or otherwise make available through the Services, including questions, answer choices, proposed solutions, tags, comments, reports, feedback, suggestions, job descriptions, and other text or materials. User Content does not include your private practice answers solely because they are stored as part of your learning history; those are handled as account data under the Privacy Policy.
 
You retain any ownership rights you have in your User Content. However, when you submit User Content for publication, review, moderation, inclusion in the question bank, improvement of the Services, or other community-facing use, you grant Eng Academi a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, format, adapt, modify, translate, analyze, review, moderate, distribute, display, publish, and otherwise use that User Content for operating, securing, improving, and promoting the Services.
 
For submissions intended to become part of the Eng Academi question bank or taxonomy, this licence is perpetual and irrevocable to the extent necessary to avoid removing or breaking materials that have already been integrated into the platform, except where applicable law requires deletion of personal information. We may remove attribution or publish such content without identifying you.
 
You represent and warrant that:
 
- you own or have the necessary rights to submit the User Content;
- the User Content does not unlawfully infringe intellectual-property, privacy, publicity, confidentiality, or other rights;
- you have obtained any permissions required to provide personal information relating to another person; and
- your submission does not contain malicious code or unlawful material.
 
We are not required to publish, retain, review, accept, or compensate you for User Content. We may edit, reject, remove, de-identify, or moderate submissions.

13. Feedback About Eng Academi
 
If you provide ideas, feature requests, suggestions, comments, bug reports, or other feedback about the Services, you grant Eng Academi a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission unless permitted by law.
 
This section does not give us ownership of personal information contained in feedback; personal information remains subject to the Privacy Policy.

14. Eng Academi Content and Intellectual Property
 
The Services, including software, interfaces, design, branding, logos, question banks, original questions, solutions, explanations, feedback, hints, taxonomy, knowledge graphs, compilations, selection and arrangement of content, databases, assessment structures, reports, and other materials created or licensed by Eng Academi (collectively, **“Eng Academi Content”**), are protected by intellectual-property and other laws.
 
Subject to these Terms, Eng Academi grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use Eng Academi Content solely through the Services for the permitted purpose associated with your account or applicable agreement.
 
Except as expressly permitted, you may not reproduce, download in bulk, publish, sell, license, rent, distribute, create derivative commercial products from, or otherwise exploit Eng Academi Content.
 
No rights are granted by implication. Eng Academi and its licensors reserve all rights not expressly granted.

15. Content Protection, Scraping, and Automated Access
 
To protect assessment integrity, intellectual property, platform availability, and user privacy, we may implement technical measures intended to detect or restrict copying, bulk extraction, scraping, automated browsing, abnormal request volume, credential abuse, or other prohibited conduct.
 
You may not, except with our prior written permission or to the extent a restriction is prohibited by law:
 
- scrape, spider, crawl, index, harvest, or systematically download question or solution content;
- use bots, scripts, browser automation, headless browsers, or other automated means to access or extract protected content;
- bypass rate limits, copy restrictions, authentication controls, access controls, anti-abuse measures, or technical protections;
- create or maintain a substitute question bank, benchmark dataset, model-training dataset, commercial study product, or assessment product using Eng Academi Content;
- use Eng Academi Content to train, fine-tune, evaluate, benchmark, or improve a machine-learning or generative-AI system without written authorization;
- probe, scan, exploit, or attempt to defeat platform security outside a written authorized security-testing program;
- interfere with or overload the Services; or
- use multiple accounts, proxy identities, credential sharing, or other methods to evade limits or enforcement.
 
We may record limited security and content-protection events associated with authenticated accounts for abuse prevention and enforcement, as described in the Privacy Policy.

16. Acceptable Use
 
You agree not to use the Services to:
 
1. violate any law, regulation, court order, contractual obligation, or third-party right;
2. harass, threaten, abuse, defame, impersonate, or deceive another person;
3. submit unlawful, infringing, fraudulent, malicious, or intentionally misleading material;
4. gain unauthorized access to an account, system, database, network, or non-public portion of the Services;
5. introduce malware, malicious code, destructive payloads, or security vulnerabilities;
6. reverse engineer, decompile, or disassemble software except where such restriction is prohibited by law;
7. manipulate assessment results, rankings, engagement metrics, account limits, or platform data;
8. use the Services to cheat on an examination, course assignment, certification, employment assessment, or other process that prohibits such assistance;
9. facilitate another person’s prohibited access or use;
10. collect or expose another user’s personal information without authorization;
11. test or exploit vulnerabilities without prior written authorization; or
12. use the Services in a manner that is fraudulent, abusive, harmful, or materially disruptive.
 
We may investigate suspected violations and take proportionate enforcement action.

17. Academic and Assessment Integrity
 
Eng Academi is designed to support legitimate learning and preparation. You are responsible for understanding the rules that apply to any school assignment, examination, take-home exercise, interview, or employer assessment.
 
If a third party prohibits use of external assistance, AI tools, question banks, copied solutions, or collaboration, you must comply with those rules. Eng Academi is not responsible for disciplinary, academic, employment, or other consequences arising from your violation of third-party rules.
 
We may cooperate with lawful investigations or contractual integrity processes where permitted by the Privacy Policy, applicable law, and any relevant organization agreement.

18. Third-Party Services and Links
 
The Services may depend on or link to third-party products or services, including cloud hosting, email delivery, identity providers, AI/model providers, payment processors, analytics providers, social platforms, or external websites.
 
Third-party services are governed by their own terms and privacy policies. We do not control third-party websites or services and are not responsible for content, products, availability, or conduct outside Eng Academi’s control.
 
Where a third party acts as our service provider and processes personal information on our behalf, our use of that provider is addressed in the Privacy Policy and applicable privacy law.

19. Paid Services, Pricing, and Taxes
 
This section applies if Eng Academi offers paid Services.
 
Prices, billing periods, included features, usage limits, taxes, renewal terms, and any trial terms will be presented before purchase or in applicable Additional Terms. You agree to pay charges you authorize, plus applicable taxes.
 
We may use a third-party payment processor. You may be required to provide payment information directly to that processor. Eng Academi may receive transaction, subscription, billing-status, or limited payment-method information needed to administer your purchase.
 
We may change prices for future billing periods by providing notice required by applicable law. A price change will not retroactively alter amounts already paid unless required to correct an error or as otherwise permitted by law.
 
If your payment fails, we may retry the payment, request an updated payment method, limit paid features, downgrade your account, or suspend the affected paid Service, subject to applicable law and any required notice.

20. Subscriptions, Renewal, Cancellation, and Refunds
 
If a paid plan automatically renews, the purchase interface will disclose the recurring nature of the subscription, billing frequency, price or method for determining price, and available cancellation method before you subscribe.
 
Unless otherwise stated at purchase, a recurring subscription continues for successive billing periods until cancelled. Cancellation normally takes effect at the end of the then-current paid billing period, and you may continue using paid features until that time.
 
You may cancel using the account or billing controls made available for the subscription or by following the cancellation instructions provided at purchase. We will not require a cancellation method that unlawfully frustrates or prevents cancellation.
 
Except where required by law or expressly stated in a refund policy, fees already charged are non-refundable and we do not provide prorated refunds for an unused portion of a billing period. If applicable consumer law gives you a cancellation, refund, rescission, charge-reversal, or other right, that statutory right controls over this section.
 
Trials or promotional periods may convert to paid subscriptions only as disclosed at sign-up. We may limit eligibility for repeated trials or promotions.

21. Organization Accounts, Seats, and Administrators
 
If an employer, school, team, or other organization pays for or manages access to your account, the organization may control certain aspects of that organizational workspace, such as assigning seats, configuring assessments, viewing organization-related activity, removing workspace access, or administering billing.
 
We will describe material organization access to personal information in the Privacy Policy, the applicable Service interface, or Additional Terms.
 
Organization administrators may not use administrative access for unrelated surveillance, personal purposes, or unlawful discrimination. Organizations are responsible for administrator actions and for ensuring they have authority to instruct Eng Academi to process organization-controlled data.
 
Termination of an organization’s subscription or your relationship with the organization may result in loss of access to organization-provided features or data. Where practical and legally permitted, personal learning data that is independent of the organization may remain associated with your individual Eng Academi account.

22. Confidential Information in B2B Services
 
If you and Eng Academi exchange non-public business information in connection with B2B Services, each party will use reasonable care to protect information that is identified as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure.
 
Confidential information does not include information that the receiving party can demonstrate: (a) is or becomes public without breach; (b) was lawfully known without restriction before disclosure; (c) is received lawfully from a third party without confidentiality obligation; or (d) is independently developed without use of the confidential information.
 
A party may disclose confidential information where required by law, subpoena, court order, or governmental demand, subject to any legally permitted notice to the other party.
 
More detailed confidentiality obligations in a signed B2B agreement will control over this section.

23. Privacy
 
Our **Privacy Policy** explains how we collect, use, disclose, retain, and protect personal information in connection with the Services. It forms part of the context in which these Terms operate but is not intended to reduce any privacy rights you have under applicable law.
 
By using the Services, you acknowledge that personal information will be handled as described in the Privacy Policy. Where consent is required for a particular collection, use, or disclosure, we will seek that consent in the manner required by law.

24. Service Communications and Marketing
 
We may send transactional or service communications that are reasonably necessary to operate your account, such as authentication, password-reset, security, legal, billing, assessment invitation, service-status, or account-administration messages.
 
Marketing or promotional electronic messages will be sent in accordance with applicable law. Where required, we will obtain consent and provide an unsubscribe mechanism. Unsubscribing from marketing does not prevent us from sending non-promotional messages that are necessary to provide or secure the Services.

25. Beta, Experimental, and Research Features
 
We may identify certain Services as beta, preview, experimental, pilot, research, or early access. Such Services may be incomplete, contain errors, change substantially, or be discontinued.
 
Unless Additional Terms state otherwise, beta features are provided for evaluation and feedback and should not be used as the sole basis for high-impact decisions or safety-critical work.
 
We may impose additional eligibility, confidentiality, data-use, testing, or feedback requirements for a beta program. If those requirements conflict with these Terms, the beta-specific terms control for that program.

26. Changes to the Services
 
We continuously develop the Services. We may add, remove, modify, reorganize, limit, or discontinue features for reasons including security, legal compliance, product development, technical performance, cost, user experience, or business needs.
 
Where a change materially reduces a paid Service during an already-paid period, we will provide any notice, credit, refund, or remedy required by applicable law or applicable Additional Terms.
 
We do not guarantee that any specific free feature will remain available indefinitely.

27. Availability, Maintenance, and Security
 
We work to keep the Services available and secure, but uninterrupted or error-free operation is not guaranteed. The Services may be unavailable because of maintenance, updates, internet failures, cloud-provider outages, security incidents, force majeure events, or other causes.
 
We may take emergency action, including temporarily restricting access, where reasonably necessary to protect users, data, infrastructure, intellectual property, or the integrity of assessments.
 
You are responsible for maintaining compatible equipment, software, and internet access necessary to use the Services.

28. Account Suspension and Enforcement
 
We may limit, suspend, or terminate access where we reasonably believe:
 
- you materially or repeatedly violated these Terms or applicable Additional Terms;
- your account is compromised or poses a security risk;
- you engaged in fraud, cheating, scraping, unauthorized automation, abusive conduct, or attempted circumvention;
- continued access creates legal or regulatory risk;
- payment for a paid Service is overdue; or
- suspension is reasonably necessary to protect another person, an organization, Eng Academi, or the Services.
 
Where appropriate, we may issue a warning or provide an opportunity to correct the issue before termination. Serious security, fraud, integrity, or legal issues may require immediate action.
 
We may preserve information relating to suspected violations where reasonably necessary for security, dispute resolution, legal obligations, or enforcement, subject to the Privacy Policy and applicable law.

29. Termination by You and Account Deletion
 
You may stop using the Services at any time. If account-deletion functionality is available, you may request deletion through the available account controls or by contacting us.
 
Deleting your account may permanently remove access to learning history, bookmarks, collections, submissions in review, assessment history, and other account-linked information, subject to retention required or permitted by law, legitimate security needs, dispute resolution, fraud prevention, B2B contractual requirements, or de-identification.
 
Content you submitted for publication or integration into the shared question bank may remain in de-identified or non-personal form after account deletion where permitted by law and consistent with the licence in Section 12.
 
Deleting an individual account does not automatically cancel a separately billed organization agreement unless the applicable billing terms say otherwise.

30. Effect of Termination
 
When these Terms or your account terminate, your right to use the affected Services ends.
 
Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, User Content licences already granted, confidentiality, fees owed, disclaimers, limitation of liability, indemnification, dispute terms, and other accrued rights or obligations.

31. Disclaimers
 
To the maximum extent permitted by law, the Services and Eng Academi Content are provided **“as is”** and **“as available.”** Eng Academi disclaims warranties and conditions that may otherwise be implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and results.
 
We do not warrant that:
 
- every question, answer, solution, hint, tag, score, recommendation, or AI-generated output is correct or complete;
- the Services will meet every educational, hiring, recruiting, or assessment requirement;
- use of the Services will result in employment, admission, certification, interview success, or a particular learning outcome;
- the Services will be uninterrupted, secure, or error-free at all times; or
- every defect or content error will be corrected immediately.
 
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, this section applies only to the extent permitted by law.

32. Limitation of Liability
 
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
 
To the maximum extent permitted by law, Eng Academi and its directors, officers, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings, arising out of or relating to the Services, even if advised that such damages may occur.
 
For claims arising from an individual consumer’s use of free Services, Eng Academi’s aggregate liability for all claims arising from the same or related circumstances will not exceed **CAD $100**, except where a higher amount is required by law.
 
For claims arising from an individual consumer’s paid Services, Eng Academi’s aggregate liability for all claims arising during the twelve months before the event giving rise to liability will not exceed the greater of **CAD $100** or the amount you paid Eng Academi for the affected Service during that twelve-month period, except where applicable law requires otherwise.
 
For B2B Services, any liability cap or exclusion in a signed order form, master services agreement, or other commercial agreement controls. If no such agreement applies, Eng Academi’s aggregate liability relating to the B2B Services will not exceed the fees paid or payable for the affected B2B Services during the twelve months before the event giving rise to the claim.
 
The limitations in this section apply only to the extent they are fair and enforceable under applicable law and do not restrict statutory consumer remedies.

33. Indemnification for Business and Misuse Claims
 
If you use the Services on behalf of a business or organization, you will defend, indemnify, and hold harmless Eng Academi and its personnel from third-party claims, damages, losses, liabilities, and reasonable legal costs arising from:
 
- the organization’s unlawful use of the Services;
- candidate or user data the organization provides without sufficient authority;
- the organization’s employment, screening, academic, or other decisions;
- infringement caused by materials the organization supplies; or
- a material breach of these Terms or applicable Additional Terms.
 
For individual consumers, this indemnification obligation applies only to the extent permitted by applicable law and only to third-party claims caused by your intentional unlawful conduct, fraud, infringement, or material misuse of the Services.

34. Copyright and Rights Complaints
 
If you believe material available through Eng Academi infringes your copyright or other rights, contact `admin@engacademi.org` with sufficient information for us to identify the material, understand the basis of your complaint, and contact you regarding the request.
 
We may remove or restrict access to disputed content while reviewing a complaint. Knowingly submitting a false or misleading infringement complaint may have legal consequences.

35. Governing Law and Courts
 
Except where mandatory law provides otherwise, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
 
Subject to any non-waivable consumer or statutory right to bring a claim elsewhere, disputes arising from these Terms or the Services will be brought in the courts located in Ontario, Canada, and each party submits to the jurisdiction of those courts.
 
These Terms do not require an individual consumer to waive a right to participate in a class proceeding, use a statutory complaint process, or pursue another remedy that applicable law makes non-waivable.
 
Before starting formal proceedings, we encourage you to contact us so that we can attempt to resolve the issue informally.

36. Changes to These Terms
 
We may update these Terms to reflect new Services, B2C or B2B offerings, legal requirements, security changes, technology changes, or business practices.
 
When we make a material change, we will provide notice appropriate to the circumstances, which may include posting a new version, updating the effective date, providing an in-product notice, or sending an email. Where our legal-agreement system indicates that re-acceptance is required, you may need to accept the updated Terms before continuing to use authenticated Services.
 
Changes do not retroactively alter rights or obligations that arose before the new version became effective except where permitted or required by law.
 
If you do not agree to an updated version, you must stop using the affected Services and, where applicable, cancel any future renewal.

37. Electronic Contracting and Records
 
You agree that electronic acceptance, checkboxes, account actions, electronic notices, and electronic records may be used to form and evidence agreements with Eng Academi to the extent permitted by law.
 
We may maintain an audit record of the legal-document versions you accepted, the time and source of acceptance, the checkbox language presented, and privacy-preserving security metadata associated with the acceptance, as described in the Privacy Policy.
 
You may retain or print the current version of these Terms for your records.

38. Assignment
 
You may not assign or transfer these Terms or your account without our prior written consent, except where applicable law gives you a non-waivable right to do so.
 
Eng Academi may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Services, subject to applicable privacy, consumer, and other legal requirements.

39. Severability and No Waiver
 
If a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
 
A failure or delay by either party to enforce a provision is not a waiver of that provision or any other right.

40. Entire Agreement and Order of Precedence
 
These Terms, the Privacy Policy, and any applicable Additional Terms constitute the agreement between you and Eng Academi regarding the Services covered by them and supersede prior terms concerning the same subject matter.
 
If documents conflict, the following order generally applies unless a signed agreement says otherwise:
 
1. a negotiated master services agreement or other signed commercial agreement;
2. an applicable order form or statement of work;
3. feature-specific Additional Terms;
4. these Terms; and
5. non-binding help-centre, marketing, or explanatory materials.
 
The Privacy Policy governs the description of Eng Academi’s personal-information practices and does not reduce legal privacy rights.

User-Created Collection Content and Sharing Addendum
 
_Effective 3 September 2026. This Addendum forms part of the Eng Academi Terms of Service and supplements Section 12 (User Content and Submissions). If this Addendum conflicts with Section 12 solely with respect to User-Created Learning Content, this Addendum controls._
 
User-Created Learning Content
 
**“User-Created Learning Content”** means questions, multiple-choice options, answers, solutions, explanations, hints, flashcards, prompts, generation instructions, edits, and related learning materials that you create, enter, generate, or save through Eng Academi’s custom-collection content tools. It includes material produced through a combination of your input and Eng Academi’s AI-assisted generation tools.
 
To the fullest extent permitted by applicable law, you hereby assign to Eng Academi Inc. all right, title, and interest that you own in User-Created Learning Content upon submission to the Services. This assignment does not transfer rights that you do not own and does not make Eng Academi the owner of pre-existing third-party material merely because you submit it. To the extent an assignment is invalid, unavailable, or unenforceable in a jurisdiction, you instead grant Eng Academi a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable and sublicensable licence to host, store, reproduce, modify, adapt, translate, analyze, combine, create derivative works from, distribute, display, publish, moderate, commercialize, and otherwise use that User-Created Learning Content to operate, secure, develop, improve, train or evaluate Eng Academi systems, and provide or promote the Services.
 
You represent and warrant that you have all rights and permissions necessary to submit User-Created Learning Content. You must not submit confidential interview questions, non-public employer assessment material, trade secrets, controlled or export-restricted technical information, unlawfully copied educational content, another person’s personal information, or material subject to confidentiality, academic-integrity, employment, or intellectual-property restrictions unless you are expressly authorized to do so.
 
AI-Assisted Creation
 
Eng Academi’s custom-collection generation tools may assist with secondary learning material such as answers or flashcard backs, multiple-choice options, explanations, and hints. The question or flashcard front must be supplied by you and is not generated by this feature. Generated output may be inaccurate, incomplete, or unsuitable for your intended use. You are responsible for reviewing generated content before saving, relying on, or sharing it. Eng Academi may apply generation limits, rate limits, regeneration limits, moderation, or other safeguards to control cost, protect security, and improve learning quality.
 
Your instructions and existing collection content may be sent to an AI service provider solely as needed to provide the requested generation feature, subject to the Privacy Policy and applicable provider safeguards. Do not place secrets, credentials, confidential employer information, or sensitive personal information in generation instructions.
 
Collection Sharing
 
Eng Academi may allow you to create an unlisted link that lets anyone who obtains the link view a read-only version of the shared collection without creating or signing into an Eng Academi account. A share link is a capability credential: possession of the link is sufficient to access the shared preview until you revoke or rotate it. Shared pages are intended to remain unlisted rather than searchable or publicly indexed, but you should treat the link as shareable information and provide it only to people you are comfortable allowing to view the collection.
 
An Eng Academi account is required before a recipient can save a shared collection into their own account or use account-based practice functionality. Saving creates an independent copy in the recipient’s account, subject to the recipient’s normal collection and content limits. Revoking or rotating the original share link prevents further access through that link but does not automatically delete copies that recipients already saved to their accounts.
 
Sharing a collection does not grant the recipient ownership of Eng Academi Content or any additional licence beyond the limited rights already provided by these Terms. Recipients may not scrape, republish, sell, bulk-copy, or use shared Eng Academi Content to build a competing question bank, dataset, assessment product, or machine-learning dataset. Eng Academi may disable or revoke sharing where reasonably necessary for security, abuse prevention, intellectual-property protection, legal compliance, or Service integrity.
